Trusted Third Party (TTP) managing credential data flow between Issuers and Users

This Trusted Third Party (TTP) Agreement ("Agreement") governs the relationship between the Credly.study platform ("Credly.study", "We", "Us", "Our") and its users, including Issuers and Users (as defined below), concerning the issuance, management, verification, and display of digital credentials, including Non-Fungible Token (NFT) credentials, via the Credly.study service ("Platform" or "Service").

By accessing or using the Credly.study Platform in any capacity, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement, along with our Privacy Policy and any other applicable terms or policies referenced herein or published on the Platform.

1. Definitions

  • 1.1. "Trusted Third Party" (TTP) or "Credly.study": Refers to the entity operating the Credly.study platform, responsible for providing the technological infrastructure, managing the Platform, facilitating the creation and verification processes (according to defined procedures and trust levels), and acting as an intermediary to enhance trust in the digital credentials managed through the Service.
  • 1.2. "User": Refers to any individual or legal entity that accesses the Credly.study Platform to view, share, manage, or request verification of digital credentials issued to them or publicly available credentials.
  • 1.3. "Issuer": Refers to any individual or legal entity that utilizes the Credly.study Platform to create, issue, manage, import/transfer, or verify digital credentials for themselves or others.
  • 1.4. "Credential": Refers to any digital document, NFT-document, certificate, diploma, award, badge, or other representation of achievement, skill, or qualification created, issued, or managed via the Platform.
  • 1.5. "Verification": Refers to the process undertaken by Credly.study, based on information and cooperation provided by Issuers and/or Users, and potentially external sources, to assign a level of trust or authenticity to a Credential according to predefined criteria (e.g., Pending, Fake, Low, Medium, High, Highest Trust). Verification confirms the completion of specific process steps, not necessarily the absolute underlying truth or validity of the achievement itself.

2. Role and Responsibilities of Credly.study as TTP

Credly.study acts as a TTP by providing the platform and processes designed to enhance the reliability and trustworthiness of digital credentials. Our responsibilities include:

  • 2.1. Platform Operation: Maintaining and operating the Credly.study Platform infrastructure to facilitate the creation, issuance, storage, display, and verification of Credentials.
  • 2.2. Process Facilitation: Implementing and managing processes for Issuer identification (to a reasonable extent based on provided information) and Credential Verification according to the procedures associated with different Trust Levels.
  • 2.3. Data Handling: Implementing reasonable technical and organizational measures to protect the confidentiality and security of data processed through the Platform, in accordance with our Privacy Policy.
  • 2.4. Compliance: Striving to comply with applicable laws and regulations relevant to the operation of the Platform.
  • 2.5. Support & Dispute Facilitation: Providing user support channels and facilitating the resolution of disputes related specifically to the use and operation of the Platform according to established policies. Credly.study does not adjudicate underlying real-world disputes between Issuers and Users.

3. Responsibilities of the Issuer

The Issuer is solely responsible for the Credentials they create, issue, or import onto the Platform. Issuer responsibilities include:

  • 3.1. Content Accuracy and Legality: Ensuring that all information contained within Credentials, including recipient details, achievement descriptions, dates, and associated materials, is accurate, truthful, complete, and complies with all applicable laws and regulations. The Issuer warrants they have the legal right and authority to issue the Credential.
  • 3.2. Authenticity: Providing truthful information and cooperating fully and promptly with Credly.study during any verification processes required for the issuance or validation of Credentials and the assignment of Trust Levels.
  • 3.3. Platform Compliance: Adhering to all rules, policies, and guidelines set forth by Credly.study for the use of the Platform.
  • 3.4. Authorized Use: Ensuring Credentials are issued only to legitimate recipients and that access controls, if applicable, are properly managed.
  • 3.5. Intellectual Property: Confirming they possess all necessary rights, licenses, or permissions for any logos, trademarks, designs, or other intellectual property incorporated into the Credentials.
  • 3.6. Data Security: Maintaining the confidentiality and security of their Issuer account credentials and any sensitive information related to the Credentials they manage.
  • 3.7. Fees: Paying any applicable fees associated with the use of the Platform services as agreed upon.

4. Responsibilities of the User

Users accessing the Platform to view, share, or manage Credentials agree to the following:

  • 4.1. Proper Use: Using the Platform solely for its intended purposes of viewing, managing, sharing, and verifying Credentials in accordance with this Agreement and Platform policies.
  • 4.2. Verification Understanding: Acknowledging that Credly.study's Verification and Trust Levels reflect the completion of specific process steps and rely on information provided by the Issuer and User. Users should exercise their own judgment and due diligence when relying on any Credential.
  • 4.3. Accurate Information: Providing accurate and truthful information when required for account creation, verification processes, or accessing specific Credential data.
  • 4.4. Account Security: Maintaining the confidentiality and security of their User account credentials and notifying Credly.study immediately of any unauthorized use.
  • 4.5. Prohibited Activities: Refraining from any illegal activities, misrepresentation, attempting to bypass security measures, introducing malicious code, or otherwise misusing the Platform.
  • 4.6. Reporting: Reporting suspected inaccuracies, fraudulent Credentials, or misuse of the Platform by Issuers or other Users to Credly.study administration.
  • 4.7. Compliance: Complying with all applicable laws and regulations and respecting the rights of Issuers and other Users.

5. Account Suspension and Termination

Credly.study reserves the right, at its sole discretion and without prior notice, to suspend or permanently terminate the account of any User or Issuer and block their access to the Platform if they violate the terms of this Agreement, any Platform policies, or engage in activities deemed harmful, fraudulent, illegal, or detrimental to the Platform or its community. Such activities include, but are not limited to: providing false information during verification, issuing fraudulent Credentials, security breaches, or misuse of the Platform. In the event of suspension or termination due to violations, any fees paid for services are non-refundable.

6. Dispute Resolution

Disputes arising specifically from the use or malfunction of the Credly.study Platform or interpretation of this Agreement shall be addressed through Credly.study's internal dispute resolution process. Credly.study will endeavor to mediate such platform-related disputes fairly based on this Agreement and platform data. However, Credly.study is not obligated to resolve, and takes no responsibility for, disputes between Issuers and Users regarding the underlying validity of an achievement, employment matters, or other real-world conflicts external to the Platform's direct operation. Credly.study's decisions regarding platform-related disputes are final within the scope of its platform operations. Parties retain their rights to pursue external legal remedies for disputes beyond the scope of platform operation.

7. Disclaimer of Warranties and Limitation of Liability

  • 7.1. "AS IS" Service: The Credly.study Platform and Service are provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.
  • 7.2. No Guarantee of Authenticity: While Credly.study implements verification processes, WE DO NOT GUARANTEE THE ABSOLUTE AUTHENTICITY, ACCURACY, OR TRUTHFULNESS OF THE CONTENT PROVIDED BY ISSUERS WITHIN CREDENTIALS OR THE UNDERLYING ACHIEVEMENT ITSELF. The Trust Levels indicate the extent of the verification process completed based on available information and cooperation, not an absolute certification of fact. Users rely on Credentials at their own risk and are encouraged to perform independent due diligence.
  • 7.3. Issuer Responsibility: Credly.study expressly disclaims any liability for false, misleading, inaccurate, or infringing information provided by Issuers within Credentials. The Issuer is solely responsible for the content they publish.
  • 7.4. No Liability for Losses: Credly.study shall not be liable to any User, Issuer, or any third party for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:
    • (a) The use or inability to use the Service;
    • (b) Reliance on any Credential or information obtained through the Service, including reliance on Credentials containing false or misleading information provided by an Issuer;
    • (c) Unauthorized access to or alteration of your transmissions or data, including breaches of security despite reasonable security measures;
    • (d) Statements or conduct of any third party on the Service, including Issuers providing fraudulent information;
    • (e) Suspension or termination of your account in accordanceance with this Agreement;
    • (f) Any other matter relating to the Service.
  • 7.5. Force Majeure: Credly.study is not liable for failures or delays in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, or strikes.
  • 7.6. Maximum Liability: In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not allowed, Credly.study's liability shall be limited to the maximum extent permitted by law, or, where applicable, to the amount of fees paid by the claimant to Credly.study in the preceding six (6) months.

8. Modification of this Agreement

Credly.study reserves the right, in its sole discretion, to modify, amend, or replace this Agreement, or any part thereof, at any time without prior individual notice to Users or Issuers. We may indicate that changes have been made by updating the "Effective Date" at the top of this Agreement and posting the revised version on the Platform.

It is **your sole responsibility** to review the most current version of this Agreement periodically by visiting this page on the Credly.study website. Changes will become effective immediately upon posting the revised version.

Your continued access or use of the Credly.study Platform following the posting of any changes to this Agreement constitutes your **binding acceptance** of those modifications. If you do not agree to the modified Agreement, you must immediately cease all use of the Service. You acknowledge and agree that Credly.study shall have no liability to you or any third party if you fail to review the updated Agreement and are unaware of the changes implemented. Your continued use implies consent to the Agreement as modified.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

10. Severability

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. Entire Agreement

This Agreement, together with the Privacy Policy and any other legal notices or terms published by Credly.study on the Platform, constitutes the entire agreement between you and Credly.study concerning the Service and supersedes all prior or contemporaneous agreements, communications, and proposals, whether electronic, oral, or written.

12. Acceptance of Terms

By creating an account, logging in, issuing, viewing, or otherwise using the Credly.study Platform, you explicitly confirm that you have read, understood, and agree to be legally bound by all terms and conditions of this Third-Party Trust Agreement. If you do not agree with these terms, you must immediately cease all use of the Platform.
